Amendment of Statutes – 2025

Rationale for Statute Amendments and Timetable for Revision

Since the initial version of the statutes was established in 2019, and even after the subsequent revision in 2022, certain needs and objectives of AIPaD remain unmet or unclear. As the association continues to grow and evolve, it has become increasingly important to ensure that its governing documents provide clear, comprehensive, and practical guidelines for all involved. Therefore, the 2025 board has decided to propose a series of amendments to the statutes.

According to Article 10 of the current Articles of Association, any changes to the statutes must first be approved by the board. Subsequently, all members must be informed of the proposed amendments at least one month prior to the next annual (or an extraordinary) general assembly meeting. The proposed timetable for these changes is as follows:

Timetable for Statutes Revision:

  • May 7, 2025: The board notifies all active members of the proposed amendments.
  • June 6, 2025: Deadline for gathering members’ feedback, including comments on the board’s proposals as well as additional member suggestions.
  • June 7–8, 2025: The board will consolidate all suggestions and feedback to prepare the pre-final draft of the amendments.
  • June 9, 2025: The board will send the pre-final draft to the Municipality of Lyngby for review and approval.
  • July 4, 2025: The board will convene an extraordinary general assembly meeting to discuss the proposed statute changes incorporating any comments from the Municipality. Invitation will be sent before the meeting.
  1. Removing DTU Reference from Membership Definition:
    This change allows the board to define membership categories more flexibly. Consequently, not only DTU affiliates but also students and staff from other Danish universities can benefit from discounted membership fees. Please note that category and fee determination remains the responsibility of the board.

  2. 18+ Membership Requirement:
    Membership in AIPaD will be restricted to individuals aged 18 and over. For events, however, children under 18 may participate if accompanied by a parent or legal guardian.

  3. Change in Board’s Operational Term (from January–December to April–March):
    The board’s term will shift to April–March. The rationale is that if a newly formed board begins in January, it immediately faces the challenge of organizing two major events—Chaharshanbe Suri and Nowruz. If the new members lack experience, this can lead to significant challenges. With the new term, the incoming board will have a smoother transition and more time to take over responsibilities from the previous board.

  4. Updated Board and Member Duties:
    Additional clarifications have been added regarding the roles and responsibilities of board members. The aim is to minimize personal interpretation; association statutes should be clear enough that both board and members can simply follow their defined duties and rights without ambiguity.

  6. Clearer Processes for Member and Board Complaints and Conflict Resolution

  7. Authorizing the Board to Register the Association with Other Municipalities:
    This enables AIPaD to take advantage of facilities and benefits that Lyngby Municipality may not provide.

  8. Clearer Policies on GDPR, Access to Sensitive Data, Board Transition Mechanisms, and Contract Management:
    This includes mechanisms for data protection, sensitive information access, orderly board transitions, and proper documentation and execution of agreements with various individuals and organizations.

  9. Clarification of the Roles and Responsibilities of Financial Supervisors

  10. Introduction of an Independent Inspector Role:
    The inspector will oversee the board’s performance and handle complaints against the board when unresolved by internal board mechanisms. The inspector will have no involvement in the duties of the financial supervisors. Candidacy for this role requires at least two years of AIPaD membership.

  11. Clearer Policies on the Restriction or Removal of Member Access and Dispute Resolution Mechanisms

  12. Change in General Assembly Timing and Board Election Eligibility:
    The General Assembly will now be held in March, rather than January. Only those with at least one year of membership may run for board election (waived if there are fewer candidates than seats available).

  13. Introduction of Election Oversight Role and Clarification of Their Duties

  14. Addition of Signing Authority Section:
    As in most associations, one or two individuals will hold signing authority on behalf of the board for interactions with banks and other institutions. The proposal is to assign this authority to the Secretary and Treasurer, and, if either is unavailable, to the Vice Secretary.
