Approval process and timeline
According to Article 11 of the current Articles of Association, all members must be informed of the proposed amendments at least one month prior to the next annual (or an extraordinary) general assembly meeting.
The board has reviewed all submitted proposals for changes to the Articles of Association in 2026 and has prepared the final draft of the proposed amendments. In accordance with the statutes, the proposed changes are published below for member review at least one month prior to the General Assembly meeting. Members are encouraged to review the proposed amendments carefully. The final vote on these changes will take place during the General Assembly meeting on March 27, 2026.
Proposed Changes
Change proposal #1:
- Adding new Note 5 to Article 3 (Members and General Assembly)
- Note 5: In any voting conducted under these statutes, the required thresholds shall be calculated based on the number of members who cast a valid vote within the designated voting period, not the total number of members constituting the General Assembly.
Change proposal #2
- Revising the whole Article 11 (Changes in the Statutes)
- Note 1: Any General Assembly member may propose changes to the statutes. Proposals must be submitted through the association’s official website.
- Note 2: The board shall review proposals within 10 business days. The board may only reject a proposal if it directly contradicts an existing article, note, or provision, and must provide a written explanation specifying the exact provision(s) contradicted. Proposals that are broader in scope and do not directly contradict any existing provision must proceed regardless of the board’s position.
- Note 3: If a proposal is rejected, the proposing member(s) may appeal to the General Assembly within 10 business days of receiving the rejection. A simple majority vote in the next General Assembly Meeting shall override the board’s rejection.
- Note 4: The board must publish approved or appeal-passed proposals on the official website within 5 business days. Members shall have no fewer than 10 business days from the date of publication to review and submit comments through the website.
- Note 5: Following the comment period, proposed changes shall be put to a vote at the next scheduled or an extraordinary General Assembly meeting. The board must provide a secure and anonymous voting platform. The voting period shall remain open for at least 48 hours after the end of General Assembly Meeting.
- Note 6: Changes are approved only if more than half of the General Assembly votes in favor.
- Note 7: Within 2 business days after voting concludes, the board must publish the outcome and detailed voting results on the official website.
- Note 8: Following approval by the General Assembly, the board must submit the revised statutes to Lyngby-Taarbæk Municipality for final approval in accordance with the Folkeoplysningslov. The submission must include: (a) the final version of the revised statutes, signed by all current board members, and (b) the minutes from the General Assembly meeting confirming approval, signed by the appointed chairperson of the meeting. The approved changes shall not take effect until the municipality has granted its approval. If the municipality rejects any changes, the board must inform the General Assembly within 5 business days of receiving the rejection.
- Note 9: The statutes exist in a single official version, with English as the authoritative language. In the event of any discrepancies between the English version and any translations, the English version shall prevail.
